ADVERTISING AGREEMENT

Publisher reserves the right to hold Sponsor and its authorized advertising agent jointly and severally liable for any and all amounts owed. If payments are not made in a timely manner, the Publisher, at its option, may terminate this Agreement immediately. TERMS AND CONDITIONS

If the contract is canceled prior to fulfillment, we will recalculate your rate based on published insertions. No penalty is applied if the contract is canceled in order to initiate a longer term contract. Display advertising bills are due and payable upon receipt. A $75 scanning fee applies to graphics submitted in hard copy format.

LIABILITY

Sponsor is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, and/or (2) any material to which users can link through the Advertisement. Sponsor represents and warrants that it holds the necessary rights to permit the use of the Advertisement by Publisher for the purpose of this Agreement; and that the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, music, image, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any antidiscrimination law or regulation, or any other right of any person or entity. Sponsor agrees to indemnify Publisher and to hold Publisher harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by Publisher, arising out of or related to Sponsor's breach of any of the foregoing representations and warranties.

Advertisers and advertising agencies are liable for all content including text, representation and illustrations of advertisements and are responsible, without limitation, for any and all claims made thereof against TVP, Incorporated USA, its officers or employees. Publisher reserves the right to reject or omit without notice any advertisement at any time. TVP, Incorporated USA accepts no liability for its failure, for any cause, to insert an advertisement.

Liability for any error appearing in an advertisement is limited to the cost of the space actually occupied. No allowance will be granted for an error that does not materially affect the value of an advertisement. To qualify for an adjustment, any error must be reported within 5 days of publication date. Credit for errors is limited to the first insertion.

USAGE STATISTICS

PUBLISHER MAKES NO GUARANTEE THAT USAGE STATISTICS WILL BE EQUAL TO ANY PUBLISHED NUMBERS AT ANY GIVEN TIME. PUBLISHER SHALL NOT BE HELD LIABLE FOR ANY CLAIMS AS THEY RELATE TO SAID USAGE STATISTICS.
